1. Acceptance of Terms

By accessing or using the website located at www.mylearningcircle.org (the "Platform"), creating an account, making a purchase, or using any of our services, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional guidelines or rules posted on the Platform.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and My Learning Circle, Inc. ("My Learning Circle," "we," "our," or "us"), a corporation organized under the laws of the United States.

2. Eligibility

You must be at least 13 years of age to use the Platform. If you are between 13 and 17 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using the Platform, you represent and warrant that:

  • You are at least 13 years old;
  • You have the legal authority to enter into these Terms;
  • You are not prohibited from using the Platform under applicable law;
  • All information you provide to us is accurate and complete.

We reserve the right to refuse access to the Platform to any person for any reason.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Keep your password secure and confidential;
  • Notify us immediately of any unauthorized access to your account at support@mylearningcircle.org.

3.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials. You may not share your account with others or create multiple accounts for the purpose of circumventing these Terms.

3.3 Account Types

The Platform may offer different account types, including free accounts, paid individual subscriptions, group or organizational plans, and instructor or creator accounts. The features and permissions associated with each account type are described on the Platform and may change over time.

4. Services Offered

My Learning Circle offers a combination of the following services:

4.1 Educational Content and Courses

We provide access to educational materials, including online courses, tutorials, videos, reading materials, quizzes, and assessments created by My Learning Circle or third-party instructors. Access to content may be subject to additional fees or enrollment requirements.

  • Course Access: Unless otherwise stated, enrollment in a course grants you a limited, non-exclusive, non-transferable license to access and view the course content for personal, non-commercial educational purposes only.
  • Certificates: Where applicable, certificates of completion are issued solely for personal use and do not constitute academic credentials, professional certifications, or endorsements unless expressly stated.

4.2 Community Features

The Platform includes community features such as forums, discussion boards, groups, messaging, and peer collaboration tools. Your use of these features is subject to our Community Guidelines and these Terms.

4.3 E-Commerce and Digital Products

We may offer for sale courses, digital products, downloadable resources, merchandise, or other goods through the Platform. All purchases are subject to the Payment Terms in Section 6.

4.4 SaaS and Platform Tools

We may provide software tools, dashboards, productivity features, and other platform-based capabilities as part of our service. These features are licensed to you on a limited, revocable basis as described herein.

5. User-Generated Content

5.1 Your Content

The Platform allows users to post, submit, upload, and share content including text, images, audio, video, documents, and other materials ("User Content"). You retain ownership of your User Content.

By posting User Content on the Platform, you grant My Learning Circle a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation and promotion of the Platform.

5.2 Content Standards

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to post the content;
  • Your content does not violate any applicable law or third-party rights;
  • Your content complies with our Community Guidelines.

You agree not to post content that:

  • Is defamatory, obscene, abusive, discriminatory, or harassing;
  • Infringes any intellectual property or privacy rights;
  • Contains malware, spam, or unauthorized advertising;
  • Violates any applicable law or regulation;
  • Impersonates any person or entity.

5.3 Content Moderation

We reserve the right (but not the obligation) to review, monitor, remove, or edit any User Content at our sole discretion and without notice, including for violations of these Terms.

5.4 Feedback

If you submit suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without compensation or credit to you.

6. Payment Terms and Subscriptions

6.1 Pricing

Prices for courses, subscriptions, and other products are listed on the Platform and are subject to change. All prices are in U.S. dollars unless otherwise stated. Applicable taxes will be added at checkout where required by law.

6.2 Payment Processing

All payments are processed by our third-party payment processor(s). By making a purchase, you authorize us to charge your selected payment method for the applicable fees. You agree to provide accurate payment information and to update it as necessary.

6.3 Subscriptions and Auto-Renewal

If you purchase a subscription plan:

  • Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
  • You will be charged the then-current subscription fee at renewal.
  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until that time.

6.4 Refunds

Courses and Digital Products: We offer a 30-day refund policy for individual course purchases. If you are not satisfied, contact us within 30 days of purchase at support@mylearningcircle.org for a full refund, subject to the conditions outlined on the Platform. Refunds are not available for courses where more than 50% of the content has been accessed or completed.

Subscriptions: Subscription fees are generally non-refundable. In exceptional circumstances, refund requests may be considered at our sole discretion.

Physical Products: If applicable, physical merchandise returns are subject to the return policy displayed at the time of purchase.

6.5 Disputes and Chargebacks

If you believe an unauthorized charge has been made, contact us immediately at billing@mylearningcircle.org. Initiating a chargeback without first contacting us may result in suspension of your account.

7. Intellectual Property

7.1 Our Content

All content on the Platform not created by users — including text, graphics, logos, icons, course materials, software, and designs — is owned by My Learning Circle or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Platform content for any commercial purpose without our prior written consent.

7.2 Trademarks

"My Learning Circle," our logos, and any other product or service names we use are our trademarks or registered trademarks. You may not use our marks without our prior written permission.

7.3 Copyright Infringement (DMCA)

We respect intellectual property rights and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes infringement, please send a written notice to our designated DMCA agent:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material and its location on the Platform; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy and authorization, signed under penalty of perjury.

8. Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable federal, state, local, or international law or regulation;
  • Engage in unauthorized access to the Platform, servers, or networks;
  • Reverse engineer, decompile, or disassemble any part of the Platform;
  • Harvest, scrape, or collect user data without authorization;
  • Transmit spam, unsolicited messages, or chain letters;
  • Upload or transmit malware, viruses, or malicious code;
  • Engage in fraudulent activity, including misrepresenting your identity;
  • Circumvent access controls, paywalls, or digital rights management;
  • Engage in conduct that restricts or inhibits other users' enjoyment of the Platform;
  • Use automated bots or scripts to access the Platform without our written consent;
  • Post content promoting violence, hate speech, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.

Violations may result in immediate termination of your account and may be reported to appropriate law enforcement authorities.

9. Third-Party Services and Links

The Platform may contain links to or integrations with third-party websites, services, or applications ("Third-Party Services"). My Learning Circle does not control and is not responsible for the content, privacy practices, or terms of any Third-Party Services. Accessing Third-Party Services is at your own risk. We encourage you to read the terms and privacy policies of any Third-Party Services you use.

10. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, MY LEARNING CIRCLE DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

  • THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT;
  • WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

EDUCATIONAL CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, MEDICAL, FINANCIAL, OR OTHER LICENSED PROFESSIONAL ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MY LEARNING CIRCLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA;
  • CONDUCT OF THIRD PARTIES ON THE PLATFORM.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

IN ALL CASES, MY LEARNING CIRCLE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MY LEARNING CIRCLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

12. Indemnification

You agree to defend, indemnify, and hold harmless My Learning Circle, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to the Platform;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any applicable law or the rights of any third party.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us at support@mylearningcircle.org or through your account settings. Termination does not entitle you to a refund except as described in Section 6.4.

13.2 By Us

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including if we believe you have violated these Terms. We will make reasonable efforts to notify you by email when possible.

13.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination — including Sections 7 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) — will survive.

14. Governing Law

These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in New Castle County, Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at legal@mylearningcircle.org and provide a written description of your dispute. We will attempt to resolve the dispute informally within 30 days.

15.2 Arbitration

If we cannot resolve your dispute informally, you and My Learning Circle agree to resolve the dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Delaware, or by phone or videoconference. The arbitrator's decision shall be final and binding.

Class Action Waiver: You and My Learning Circle each waive the right to bring or participate in any class action lawsuit or class-wide arbitration.

15.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including protection of intellectual property rights.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date and, for material changes, notify you via email or prominent notice on the Platform at least 14 days before the change takes effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the updated Terms.

17. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you enter with us, constitute the entire agreement between you and My Learning Circle regarding the Platform.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, or internet outages.
